Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern access to and use of News Studio (the "Service"), an AI-powered news generation, scheduling, automation, and publishing platform operated by Xzect Labs Private Limited ("Company," "we," "us," or "our"), including the website at newsstudio.io, the application at app.newsstudio.io, and related products, APIs, and support.

By creating an account, clicking "I agree," checking an acceptance box, subscribing, connecting a social account, enabling automation or Auto Mode, or otherwise accessing or using the Service, you agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy, Refund & Cancellation Policy, Platform Usage Policy, Cookie Policy, and Security Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization. The Service is not directed to children under 13 (or the minimum digital consent age in your jurisdiction). You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of forming a binding contract to register and subscribe.

2. Definitions

• "User Content" means any content you or your users submit, generate, upload, schedule, or publish through the Service, including text, images, video, metadata, prompts, and configuration.
• "AI Output" means content produced or suggested by artificial intelligence, machine learning, or automated systems within the Service.
• "Auto Mode" means any feature that publishes, schedules, or distributes content without mandatory human review before publication.
• "Third-Party Platforms" means social networks, CMSs, APIs, and distribution channels (e.g., Meta/Facebook, Instagram, YouTube, LinkedIn, X/Twitter, WordPress, and similar services).
• "Subscription" means a paid or trial plan granting access to features for a billing period.

3. Eligibility & Accounts

You must provide accurate, current registration information and keep your account credentials confidential. You are solely responsible for all activity under your account, including actions by team members, contractors, and API keys you issue.

You must notify us promptly of any unauthorized access. We are not liable for losses arising from compromised credentials where you failed to use reasonable security practices.

We may refuse registration, limit accounts, or require additional verification at our discretion, including for fraud prevention, payment compliance, child safety, or platform policy alignment.

You agree not to permit minors below eligible ages to use your workspace without appropriate supervision and lawful authority. You are responsible for team members and API keys you provision.

4. The Service

The Service provides tools for AI-assisted content creation, editorial workflows, scheduling, automation, analytics, and publishing integrations. We may modify, suspend, or discontinue features at any time, with or without notice.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE UPTIME, UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, PUBLISHING SUCCESS, SCHEDULING ACCURACY, API AVAILABILITY, POST REACH, ENGAGEMENT, INDEXING, OR ANY PARTICULAR BUSINESS OR EDITORIAL OUTCOME.

Beta, preview, or experimental features may be unstable, change without notice, or be withdrawn. Your use of such features is at your sole risk.

5. Subscriptions & Billing

Paid features require a valid Subscription. Pricing, plans, and limits are described on our website or in-app and may change prospectively. Taxes, currency conversion, payment processing, renewals, refunds, and chargebacks are governed by our Refund & Cancellation Policy, which is incorporated herein.

Subscriptions may auto-renew unless cancelled before the renewal date. You authorize us and our payment processors (including Razorpay and other gateways) to charge applicable fees. Failure to pay may result in suspension or termination.

Usage limits (posts, AI credits, connected accounts, seats, storage, API calls) apply per plan. Overages may be blocked, throttled, or billed as specified at purchase.

6. Privacy & Data

Our Privacy Policy describes how we collect, use, store, transfer, and disclose personal data. Where you process personal data of your end users or subjects through the Service, you are typically the data controller and we act as a processor; see our Data Processing Agreement (DPA) where applicable.

You are responsible for providing required notices and obtaining lawful bases for processing under applicable privacy laws.

7. User Content & License

You retain ownership of User Content as between you and us, subject to the license below and third-party platform terms. You represent and warrant that you have all rights, licenses, and consents necessary for User Content, including for media, trademarks, likeness, and music.

YOU ARE SOLELY RESPONSIBLE FOR ALL USER CONTENT AND AI OUTPUT THAT YOU APPROVE, SCHEDULE, OR PUBLISH. YOU MUST INDEPENDENTLY VERIFY FACTS, SOURCES, COMPLIANCE, AND ACCURACY BEFORE PUBLICATION.

By submitting User Content, you grant Xzect Labs Private Limited a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transmit, display, adapt (including for formatting and AI processing), and distribute User Content solely to operate, secure, improve, and provide the Service and as described in our Privacy Policy.

We do not endorse User Content and are not obligated to monitor it, but we may remove or restrict content that violates these Terms or our Platform Usage Policy.

8. AI, Automation & Auto Mode

The Service uses artificial intelligence and automation. AI Output may contain inaccuracies, hallucinations, omissions, outdated information, fabricated facts, biased statements, or misleading content. AI systems are probabilistic and may produce unexpected results.

YOU ACKNOWLEDGE THAT AI OUTPUT IS NOT PROFESSIONAL, LEGAL, FINANCIAL, MEDICAL, OR JOURNALISTIC ADVICE. YOU MUST REVIEW AND VERIFY ALL CONTENT BEFORE PUBLISHING OR RELYING ON IT.

Auto Mode. Where Auto Mode or similar unattended publishing is enabled, content may be generated and published automatically without human review. Enabling Auto Mode is entirely at your own risk. You remain fully responsible for all automated publications.

We are not liable for fake news, misinformation, defamation, copyright or trademark claims, regulatory enforcement, platform penalties, financial loss, reputational harm, or legal disputes arising from AI Output or automated publishing, to the maximum extent permitted by law.

Content may fail to publish, publish late, publish incorrectly, duplicate, or fail due to Service errors, misconfiguration, rate limits, or Third-Party Platform issues. You are responsible for monitoring queues, logs, and published posts.

9. Third-Party Platforms & APIs

Integrations with Third-Party Platforms require your separate authorization and compliance with their terms, developer policies, community standards, and applicable law. We are not affiliated with or endorsed by Meta, Instagram, Facebook, YouTube, Google, LinkedIn, X (Twitter), or other platforms unless expressly stated.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR FAILED POSTING, AUTOMATION FAILURES, API OUTAGES, TOKEN EXPIRATION, QUOTA EXHAUSTION, PLATFORM BUGS, ACCOUNT BANS, SUSPENSIONS, SHADOW BANS, THROTTLING, CONTENT REMOVAL, REACH CHANGES, OR ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM.

You grant us permission to access and act on connected accounts solely as instructed through the Service. You may revoke access via the Third-Party Platform or our settings; revocation may break scheduled or automated publishing.

Third-party services, open-source components, AI model providers, hosting, and payment processors have their own terms and privacy practices. We are not responsible for third-party acts or omissions.

10. Acceptable Use

You must comply with these Terms, our Platform Usage Policy, applicable laws, and Third-Party Platform rules. Prohibited conduct includes illegal content, hate speech, harassment, election misinformation, political manipulation, spam, malware, impersonation, unauthorized automation abuse, and infringement of intellectual property.

You may not reverse engineer, scrape, circumvent rate limits, probe vulnerabilities without authorization, resell the Service except as permitted, or use the Service to compete with us through unauthorized access to non-public features.

11. Intellectual Property

The Service, software, documentation, branding, and all materials we provide ("Company Materials") are owned by Xzect Labs Private Limited or licensors and protected by intellectual property laws. Except for limited rights expressly granted, no license is granted to Company Materials.

Feedback you provide may be used without restriction or compensation. If you believe content on the Service infringes your rights, contact us at contact@newsstudio.io with sufficient detail for us to evaluate the claim.

12. Suspension & Termination

We may suspend, restrict, or terminate your account or access to the Service, with or without notice, for any reason or no reason, including suspected violation of these Terms, payment failure, fraud, security risk, legal requirement, or harm to us, users, or Third-Party Platforms.

We may remove or disable User Content at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive (including disclaimers, limitations, indemnities, and governing law) survive termination.

We may cooperate with law enforcement, regulators, and rights holders and disclose information as we believe necessary to comply with law or protect rights, safety, and security.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, COMPANY MATERIALS, AI OUTPUT, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Some jurisdictions do not allow exclusion of certain warranties; in those cases, exclusions apply to the fullest extent permitted.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL XZECT LABS PRIVATE LIMITED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE, USER CONTENT, AI OUTPUT, AUTO MODE, THIRD-PARTY PLATFORMS, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IN ANY TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) INR 10,000 (OR USD 120 EQUIVALENT).

THESE LIMITATIONS ARE FUNDAMENTAL TO OUR AGREEMENT. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

15. Indemnification

You will defend, indemnify, and hold harmless Xzect Labs Private Limited, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content or AI Output you publish; (b) your use of the Service, including Auto Mode and integrations; (c) your violation of these Terms, law, or Third-Party Platform policies; (d) infringement or misappropriation of third-party rights; or (e) disputes with your audience, clients, or regulators.

We may assume exclusive defense and control of any matter subject to indemnification at your expense, and you will cooperate with our defense. You may not settle any claim without our prior written consent where settlement imposes obligations on us.

16. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer protections that cannot be waived in your jurisdiction, you agree that courts in New Delhi, India have exclusive jurisdiction over disputes arising from these Terms or the Service, and you consent to personal jurisdiction there.

Before filing suit, the parties will attempt in good faith to resolve disputes by written notice to contact@newsstudio.io and a 30-day negotiation period. Nothing prevents either party from seeking injunctive relief for misuse of intellectual property or unauthorized access.

Class or representative actions are waived to the extent permitted by law.

17. Force Majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, power outages, pandemics, supply chain disruptions, Third-Party Platform outages, AI provider outages, payment processor failures, or hosting provider failures.

18. Child Safety & Age

The Service is not intended for children under 13, or under the minimum age for digital consent where you reside. We do not knowingly collect personal information from ineligible children.

We maintain zero tolerance for CSAM, exploitation, grooming, or illegal child-related content. We may remove content, suspend accounts immediately, preserve evidence, and report to law enforcement and hotlines (including NCMEC where applicable). See our Platform Usage Policy.

You are solely responsible for User Content involving minors, including obtaining required consents and complying with child privacy laws (e.g., COPPA where applicable to your activities).

19. Trust & Safety

We may use automated and manual moderation, abuse detection, and AI safety filtering. These measures are not perfect and do not shift your responsibility to review content before publication.

We may monitor abuse indicators, maintain audit logs for security and compliance, and remove or restrict harmful or high-risk content or accounts per our Platform Usage Policy and Privacy Policy, with or without notice.

20. Compliance

Our policies are designed to support alignment with GDPR-style privacy expectations, payment gateway and card-network requirements, Meta/Google and other API platform policies, international SaaS security practices, and trust & safety standards. No statement guarantees regulatory approval in every market.

You are responsible for your own compliance with journalism, election, advertising, data protection, and platform-specific rules. Enterprise customers may request our DPA for processor terms.

21. Changes to Terms

We may modify these Terms at any time. We will post updated Terms with a revised "Last updated" date and, where required by law, provide additional notice. Material changes may require renewed acceptance in-product.

Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel any Subscription.

22. Electronic Communications

You consent to receive communications electronically (email, in-app notices, SMS where enabled). You agree that electronic agreements, notices, and records satisfy any legal requirement that such communications be in writing.

Click-wrap, browse-wrap, checkbox, or continued use constitutes your electronic signature and binding acceptance of these Terms and incorporated policies.

23. General Provisions

• Assignment. You may not assign these Terms without our consent. We may assign freely.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• No waiver. Failure to enforce a provision is not a waiver.
• Entire agreement. These Terms and incorporated policies are the entire agreement regarding the Service.
• Export. You will comply with export and sanctions laws.
• Language. English controls; translations are for convenience only.
